NASSAU COUNTY CHAPTER NYSSPE - BY-LAWS

Article B-1 - Fiscal Year

Sec. B-1.01 - The fiscal year of the Chapter shall be from September 1 to August 31.

Article B-2 - Meetings

Sec. B-2.01 - Regular Meetings: The Chapter shall hold regular meetings in the second week of February, April, June, October and December.  At its first meeting of the year, the Executive Board shall select the day of the week for meetings for the ensuing year.

Sec. B-2.02 - Special Meetings: Special meetings may be called by the President, or at the request of the Executive Board, or upon written request of ten members.  The purpose of such meeting shall be set forth in the notice to members and no business other than that for which the meeting was called shall be transacted.

Sec. B-2.03 - The April meeting shall be designated as the Annual Meeting.

Sec. B-2.04 - Quorum: For the purpose of transacting business, a quorum of ten members shall be required, at least six of whom shall not be members of the Executive Board.

Sec. B-2.05 - Order of Business: The order of business for regular meetings shall be:

  1. Reading of minutes of previous meeting
  2. Report of Committees
  3. Financial Reports
  4. Reading of Communications
  5. Unfinished Business
  6. New Business
  7. Adjournment

 

The order of business for the April meeting shall be:

  1. Roll Call of Officers
  2. Appointing of Tellers and counting of ballots
  3. Reading of Minutes of previous meeting
  4. Report of Committees
  5. Reports of Officers
  6. Reading of Communications
  7. Unfinished Business
  8. Election of Officers
  9. New Business
  10. Adjournment

 

Sec. B-2.06 - Meetings of the Executive Board: Meetings of the Executive Board shall be held at least once between consecutive regular meetings, at the call of the President, or at any time at the call of a majority of the Executive Board, on at least three (3) days notice to all Board Members.

Sec. B-2.07 - Quorum of Executive Board: A quorum consisting of seven members of the Executive Board shall be necessary for the transaction of business.

ec. B-2.08 - Place of Meetings: Meetings of the Chapter, or of the Executive Board, shall be held at a place selected by the Executive Board.

Article B-3 - Officers

Sec. B-3.01 - President: The President shall preside at all meetings of the Chapter and of the Executive Board.  He shall be an ex-officio member of all committees, and with the exception of the Nominating Committee, shall appoint the Chairmen of all committees, and members of special committees.  He shall, subject to the Executive Board, have general direction of the business of the Chapter.

Sec. B-3.02 - Vice President: One of the Vice Presidents, in order of precedence shall act as, and shall perform all the duties and functions of the President, in the event of the absence or disability of the President.

Sec. B-3.03 - Secretary shall keep complete and accurate records of all proceedings of the Chapter and of the Executive Board.  He shall conduct official correspondence and perform all duties usual to his office, and such additional duties as may be assigned to him by the President or the Executive Board.  He shall receive such compensation as the Executive Board may determine.

Sec. B-3.04 - Financial Secretary: The Financial Secretary shall receive all Data Processing information (including remittance reports, file maintenance, and membership lists, etc.) from State Society.  He shall check all Data Processing information and notify headquarters NYSSPE of any and all errors in dues status, addresses, membership classifications and other pertinent information.  He shall maintain an accurate account for each and every member of the Chapter.  He shall receive from the Membership Chairman a copy of all applications forwarded to State Society.  He shall notify the appropriate committee of members who are in arrears in dues and shall be solely responsible for adding, deleting, and changing membership information and maintaining the Chapter’s membership mailing list.  His records shall be available for examination at such times as the President or his delegate may request.  At the expiration of his term of office, he shall turn over to his successor all records, correspondence, papers, Data Processing information, and moneys belonging to the Chapter taking receipt therefore.

Sec. B-3.05 - Treasurer: The Treasurer shall receive all moneys paid to the Chapter, and shall make such disbursements as are approved by the Executive Board.  Disbursements shall be made by check signed by the Treasurer, upon authorization by the President or the Vice-President.  He shall make a full financial report at the Annual Meeting, and at meetings of the Executive Board, whenever so required.  At the expiration of his term of office, he shall turn over all moneys, documents, books, records, and other property of the Chapter to his successor.

Article B-4 - Executive Board

Sec. B-4.01 - The Executive Board shall have complete supervision of the affairs of the Chapter.  Whenever an emergency arises, it shall have full power to act for the Chapter.  It shall supervise and approve the administration of all funds that have been authorized by the Chapter.

Article B-5 - Board of Trustees

Sec. B-5.01 - The duties of the Board of Trustees shall be as directed by the Board of Directors.

Article B-6 - Standing Committees

Sec. B-6.01 - Nominating Committee: The Nominating Committee shall make nominations of officers and Directors to be voted upon at the Annual Meeting.

Sec. B-6.02 - Membership Committee: The Membership Committee shall recommend ways and means of developing the membership of the Chapter, and shall investigate and report on the character and eligibility of all applicants for membership, and shall notify all members of applications received, before submission to the Executive Board.

Sec. B-6.03 - Publicity Committee: The Publicity Committee shall adopt and put into effect methods for more fully acquainting the General Public with the importance and value of the functions and accomplishments of the Engineering Profession.

Sec. B-6.04 - Legislative Committee shall investigate and report on all enacted or proposed legislation, and upon all governmental agencies charged with the enforcement of laws affecting the interests or status of the Engineering Profession in general, and of Licensed Engineers and Land Surveyors in particular.

Sec. B-6.05 - Ethics and Practice Committee: The Ethics and Practice Committee shall educate and inform the Chapter of ethics and practice violations as so advised by the State Society and/or State Education Department.

Sec. B-6.06 - Program Committee: The Program Committee shall be responsible for arrangements of programs at all meetings, outside of and in addition to the regular order of business.

Article B-7 - Membership

Sec. B-7.01 - Election to membership, associate membership, E.I.T. membership or introductory membership, shall be by the Executive Board, or a special committee created by the Executive Board to pass on membership applications, upon receipt of application and recommendation of the Membership Committee.

Sec. B-7.02 - A member, associate member or E.I.T. member, may resign his membership by a written communication to the Financial Secretary.  If all his dues and other indebtedness have been paid, his resignation shall be accepted, unless charges have been preferred against him.

Sec. B-7.03 - A member may transfer to another Chapter, upon written request to the Financial Secretary, and upon consent of the other Chapter, provided the member has paid dues for the current calendar year.

Article B-8 - Expulsion

Sec. B-8.01 - Any member may be expelled for cause, by a majority of the Executive Board, and upon recommendation of the Ethics and Practice Committee, provided such expulsion is approved by the State Society.  Such member may appeal in writing, from the action of the Executive Board, in which case the appeal shall be considered by the Chapter at a regular meeting, when a two-thirds vote will be required for reinstatement.

Sec. B-8.02 - Publication shall be made of expulsions only after a period of ninety days, to afford members expelled by the Executive Board full opportunity to appeal for reinstatement.

Article B-9 - Dues

Sec. B-9.01 - The Annual Dues for membership and associate membership in the Chapter shall be as proposed by the Executive Board and approved by the membership

at a regular meeting provided notice of such pending action is published in the meeting notices.  The Annual Dues for

Membership in the Chapter shall be in addition to the annual dues for membership in the New York State Society of Professional Engineers.  Professional Engineer members shall also pay annual dues for membership in the National Society of Professional Engineers.

Sec. B-9.02 - The E.I.T. annual membership dues shall be as proposed by Executive Board and approved by the membership at a regular meeting provided notice of such pending action is published in the meeting notices.  The E.I.T. annual membership dues shall be in addition to the annual dues for E.I.T. membership in both the New York State and the National Society of Professional Engineers.

Sec. B-9.03 - Dues shall be payable at the beginning of the calendar year.  A member, whose dues are in arrears for more than one calendar year, shall receive no publications and shall not be entitled to vote upon or take part in the deliberations of the Chapter.  Members in arrears for more than 15 months shall be dropped from membership, after due written notice by the Secretary, but may be reinstated upon the favorable vote of the Executive Board, and upon payment of one year arrears and current dues.

Sec. B-9.04 - Members shall receive the publication Engineering Times as provided by the National Society of Professional Engineers.

Article B-10 - Parliamentary Procedure

Sec. B-10.01 - “Roberts Rules of Order” as revised, shall govern matters of parliamentary procedure.

Article B-11 - Amendments

Sec. B-11.01 - These by-laws may be amended by a two-thirds vote of the members present at a regular meeting of the Chapter, provided at least ten days notice in writing of the proposed amendment shall have been given to the members, prior to such meeting.

Article B-12 - Voting Delegates

Sec. B-12.01 - The voting delegates shall attend meetings of the State Society, and as duly accredited representatives, shall cast the votes to which the Chapter is entitled in accordance with policy determined by the Executive Board if there be such.
